The first part is general disclosures, matters of public record, for instance. The second part are specific disclosures in which matters which, if not disclosed, could break a warranty, could breach a warranty.

For instance, if there’s a warranty in the agreement which states the seller mustn’t be the subject of any complaints, the seller must then provide full details of any complaints received, or expected to receive. So, if you’re not sure if something should be disclosed, disclose it. The rule here is to be specific and precise, and be kept up-to-date all the way up to completion. So, if something does come up, the seller and the lawyer need to disclose it in full and identify both the effect of the breach and which warranties are likely to be affected.
